Retainer Agreement Term

1. Scope of Services
1.1 Please refer to your contract for specific service agreement.
1.2 The Services will be provided in accordance with the terms and conditions set forth in this Agreement and the Specific Contract.
2. Retainer Fee
2.1 The Client agrees to pay the Service Provider a retainer fee set per [month/quarter/year] (the "Retainer Fee").
2.2 The Retainer Fee is due on the 1st day of the billing cycle and shall be paid via wire transfer or credit card.
2.3 The Retainer Fee shall be applied against the Services rendered by the Service Provider. Any unused portion of the Retainer Fee shall not be refundable or transferable.
3. Term and Termination
3.1 This Agreement shall commence on the Effective Date and shall continue for a period of retainer contract unless terminated earlier in accordance with this Agreement.
3.2 Cancellation Policy:
- For retainers associated with a contract, the Client must provide at least 90 days written notice prior to the end of the contract term to cancel. If the Client fails to provide such notice, the Client will be charged an amount equivalent to three months of the Retainer Fee.
- For month-to-month retainers, either party may cancel the Agreement at any time with a 30-day written notice.
3.3 Upon termination, the Client shall pay for all Services rendered up to the date of termination.
4. Confidentiality
4.1 Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement.
4.2 This obligation shall survive the termination of this Agreement.
5. Intellectual Property
5.1 Any intellectual property developed by the Service Provider in the course of providing the Services shall remain the property of the Service Provider unless otherwise agreed in writing.
5.2 The Client shall have a non-exclusive, non-transferable license to use any deliverables provided by the Service Provider for the purposes outlined in the Specific Contract.
6. Limitation of Liability
6.1 In no event shall the Service Provider be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.
6.2 The Service Provider's total liability under this Agreement shall not exceed the total amount of Retainer Fees paid by the Client in the 3 months preceding the claim.
7. Governing Law
7.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.
8. Amendments
8.1 This Agreement may only be amended or modified in writing, signed by both parties.
9. Retainer Agreement
9.1 The Retainer Agreement, together with the Specific Contract, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
10. Acceptance
10.1 By signing the retainer agreement, both parties agree to the terms and conditions set forth in this Retainer Agreement.
