Terms & Conditions

These Terms govern your use of smbhq.io, the SMB HQ desktop apps and the SMB HQ platform and AI agents (the "Services") provided by SMB HQ LLC ("SMB HQ," "we," "us"). By using the Services, you agree to these Terms. If you use the Services for a business, you agree on its behalf and confirm you have authority to do so.

1. The Services

SMB HQ provides AI agents for sign companies, vehicle wrap and graphics shops, print shops and similar businesses, including an AI Receptionist, AI Sales Manager, AI Marketing Manager, AI Customer Support and AI Finance Manager, along with integrations, desktop apps and, when available, an MCP server. Features may change over time. Features marked beta, preview or coming soon are provided as-is and may change or end.

2. Eligibility and accounts

You must be at least 18 and use the Services for business purposes. You are responsible for your account, for keeping login details secure and for all activity under your account. Tell us right away about any unauthorized use.

3. Your responsibilities

  • Give your agents accurate information about your business, pricing, services and policies, and keep it up to date.
  • Review and approve agent actions as required by your settings. You are responsible for quotes, messages, posts and payment requests sent with your approval or under the automation you turn on.
  • Comply with laws that apply to calls, texts and emails, including telemarketing, text messaging and anti-spam laws, call recording and consent laws, and any registration needed for business texting.
  • Tell your customers they may be speaking with an AI assistant, and that calls may be recorded, where the law requires it.
  • Have the rights and permissions needed for the data you put into the Services or connect through integrations.

4. Acceptable use

You may not use the Services to break the law, send spam or unsolicited robocalls, harass or deceive people, collect data unlawfully, infringe others' rights, interfere with or reverse engineer the Services, or resell them without our written permission.

5. AI output

AI agents can make mistakes, including wrong prices, dates or answers. Agent output is not professional, legal, tax or financial advice. You are responsible for reviewing output before you rely on it, and for the approval settings you choose.

6. Your data

You own the data you and your customers put into the Services ("Customer Data"). You give us permission to host, process and transmit Customer Data only to provide, secure and improve the Services for you, as described in our Privacy Policy. You can export or delete your Customer Data, and we delete it within a reasonable time after your account ends.

7. Third-party services

The Services connect to third-party tools such as phone carriers, calendars, email, payment processors and shop software. Your use of those tools is governed by their own terms, and we are not responsible for them or for changes they make that affect an integration.

8. Desktop apps

We grant you a limited, non-exclusive, non-transferable license to install and use the SMB HQ desktop apps on your computers to access the Services while you have an account. The apps may update automatically.

9. Fees and payment

Paid plans are billed as described in your order or plan and our Payment Policy. Refunds are covered by our Refund Policy.

10. Intellectual property

We own the Services, including the software, agents, website and SMB HQ name and logo. These Terms do not give you any rights to them except the right to use the Services as allowed here. If you send us feedback, we may use it without obligation to you.

11. Global SMB Awards

Nominations and entries for the Global SMB Awards are subject to the rules published for each award. By submitting a nomination, you confirm the information is accurate and that you have permission to share it.

12. Suspension and termination

You can cancel at any time as described in our Refund Policy. We may suspend or end your access if you breach these Terms, fail to pay, or use the Services in a way that creates legal or security risk. Sections that by their nature should survive termination will survive.

13. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise the Services will be uninterrupted or error-free.

14. Limitation of liability

To the fullest extent allowed by law, SMB HQ is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business. Our total liability for any claim relating to the Services is limited to the amounts you paid us in the 12 months before the claim.

15. Indemnification

You agree to defend and indemnify SMB HQ against claims arising from your use of the Services, your Customer Data, the messages and calls made for your business, or your breach of these Terms or the law.

16. Governing law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law rules. Disputes will be resolved in the state or federal courts located in Sheridan County, Wyoming.

17. Changes to these Terms

We may update these Terms. We will post the new version here and notify customers of material changes by email. Continuing to use the Services after the changes take effect means you accept them.
